IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY BEFORE ACCESSING OR USING THE EDUOVISUAL PLATFORM. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND EDUOVISUAL LLC. BY CREATING AN ACCOUNT, ACCESSING, OR USING ANY PART OF THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY, INCLUDING OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.


1. DEFINITIONS

The following defined terms shall have the meanings set forth below throughout these Terms:

"Content" means all videos, lectures, illustrations, text, graphics, images, software, quizzes, assessments, study materials, and any other materials available through the Platform.

"Eduovisual," "Company," "we," "our," or "us" means Eduovisual LLC, a Delaware limited liability company.

"Platform" means the website located at www.eduovisual.com, including all subdomains, mobile applications, APIs, and any related services operated by Eduovisual.

"User," "you," or "your" means any individual who accesses or uses the Platform, including but not limited to medical students, nurses, physician assistants, physicians, and other healthcare professionals.

"User Content" means any information, data, text, feedback, or other materials submitted, posted, or transmitted by a User through the Platform.

"Subscription" means a paid plan granting access to designated Content on the Platform for a defined billing period.


2. ACCEPTANCE OF TERMS AND MODIFICATIONS

2.1 Binding Agreement

By accessing or using the Platform, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.2 Modifications

Eduovisual reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Material changes will be indicated by updating the "Last Revised" date at the top of this document. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, your sole and exclusive remedy is to discontinue use of the Platform and terminate your account.

2.3 Additional Policies

Your use of the Platform is also governed by our Privacy Policy, Acceptable Use Policy, and any other policies or guidelines posted on the Platform, all of which are incorporated into these Terms by reference.


3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

Certain features of the Platform require you to create an account. By registering, you agree to provide accurate, current, and complete information and to update such information promptly upon any changes. Eduovisual reserves the right to refuse, suspend, or terminate any registration at its sole discretion, with or without cause, and without prior notice.

3.2 Username Restrictions

You may not select a username that:

(a) Impersonates any person or entity;
(b) Incorporates a name or trademark to which you do not hold rights;
(c) Is offensive, vulgar, obscene, or otherwise objectionable; or
(d) Violates any applicable law or regulation.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, whether or not authorized by you. You must immediately notify Eduovisual at admin@eduovisual.com upon discovering any unauthorized access or security breach. Eduovisual shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

3.4 One Account Per User

Each User may maintain only one active account. Eduovisual reserves the right to merge or terminate duplicate accounts without notice.


4. ACCEPTABLE USE POLICY

4.1 Permitted Use

The Platform is provided solely for your personal, non-commercial educational use unless otherwise agreed to in writing by Eduovisual. You shall not use the Platform for any purpose that is unlawful or prohibited by these Terms.

4.2 Prohibited Conduct

You agree that you will not, directly or indirectly:

(a) Use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform;
(b) Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Platform;
(c) Use any robot, spider, scraper, automated tool, or manual process to monitor, copy, or extract data from the Platform;
(d) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in the Platform;
(e) Upload, transmit, or distribute any viruses, malware, or other harmful code;
(f) Use the Platform to transmit unsolicited communications (spam);
(g) Resell, sublicense, lease, or otherwise commercially exploit the Platform or any Content without express written authorization;
(h) Use any Content for the purpose of training, fine-tuning, or developing any artificial intelligence or machine learning model, algorithm, or system;
(i) Frame, mirror, or create derivative works from the Platform or any Content;
(j) Circumvent or disable any security, access control, or digital rights management features of the Platform; or
(k) Assist, encourage, or enable any third party to engage in any of the foregoing activities.

4.3 Enforcement

Eduovisual reserves the right to investigate and take appropriate legal action against anyone who, in Eduovisual's sole discretion, violates this Section 4, including without limitation removing offending User Content, suspending or terminating the violator's account, and reporting such conduct to law enforcement authorities.


5. CONTINUING MEDICAL EDUCATION (CME) CREDITS

Eduovisual does not currently offer courses eligible for Continuing Medical Education (CME) credits. The Platform is an educational study resource designed to help Users prepare for medical licensing and board certification examinations. Completion of any course, module, or assessment on the Platform does not confer any professional certification, credential, continuing education credit, or license of any kind.

Eduovisual may, in the future, offer CME-accredited courses through partnerships with accredited providers. If and when CME-accredited courses become available, supplemental terms governing the earning, issuance, and use of CME credits will be posted on the Platform and incorporated into these Terms by reference. Users will be clearly notified of any CME-eligible offerings and the applicable terms at that time.


6. FEES, PAYMENTS, AND SUBSCRIPTIONS

6.1 Subscription Plans and Pricing

Eduovisual offers various Subscription plans as described on the Platform. All fees are quoted in United States Dollars (USD) unless otherwise specified. Eduovisual reserves the right to change its pricing at any time; provided, however, that price changes will not affect any active Subscription until the next renewal period.

6.2 Automatic Renewal and Cancellation

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period (monthly or annually, as applicable) at the then-current rate unless you cancel your Subscription prior to the renewal date. You may cancel auto-renewal at any time through your account settings or by contacting admin@eduovisual.com. Cancellation will take effect at the end of the current billing period; you will continue to have access to the Platform until the end of the period for which you have already paid.

6.3 Payment Authorization

By providing a payment method, you authorize Eduovisual and its third-party payment processor to charge the applicable fees to your designated payment method. You represent and warrant that you are authorized to use the payment method you provide. Eduovisual is not responsible for any fees charged by your bank or payment provider in connection with your use of the Platform.

6.4 Failed Payments

If any payment fails, Eduovisual reserves the right to retry the charge, suspend your access to the Platform, and/or terminate your account. You remain responsible for all unpaid amounts.

6.5 Refund Policy

All fees are generally non-refundable. Eduovisual may, in its sole discretion, issue a refund or credit under the following limited circumstances:

(a) Accidental duplicate charges verified by Eduovisual; or
(b) Documented, sustained inability to access the Platform caused by a technical failure attributable solely to Eduovisual.

Refund requests must be submitted in writing to admin@eduovisual.com within fourteen (14) calendar days of the charge in question. Refund requests received after this period will not be considered. Eduovisual's determination regarding refund eligibility is final.

6.6 Taxes

Fees do not include applicable taxes. You are responsible for paying all taxes, duties, or other governmental charges associated with your Subscription, excluding taxes based solely on Eduovisual's net income.

6.7 Free Trials and Promotions

Eduovisual may offer free trials or promotional pricing at its discretion. At the end of any free trial period, your Subscription will automatically convert to a paid Subscription at the standard rate unless you cancel before the trial expires. Eduovisual reserves the right to limit free trial eligibility to one per User.


7. INTELLECTUAL PROPERTY RIGHTS

7.1 Eduovisual's Ownership

The Platform and all Content, including without limitation all text, graphics, illustrations, videos, lectures, software, code, data compilations, page layout, underlying code, and the selection and arrangement thereof, are the exclusive property of Eduovisual and/or its licensors and are protected by United States and international intellectual property laws, including copyright, trademark, patent, and trade secret laws.

7.2 Limited License to Users

Subject to your strict compliance with these Terms, Eduovisual grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Content solely for your personal, non-commercial educational purposes. This license does not include any right to:

(a) Reproduce, download, distribute, publicly display, publicly perform, or create derivative works of any Content;
(b) Remove, alter, or obscure any copyright, trademark, watermark, or other proprietary notices;
(c) Use any Content in any commercial or institutional setting without a separate written license agreement; or
(d) Transfer your access rights to any third party.

7.3 Reservation of Rights

All rights not expressly granted to you under these Terms are reserved by Eduovisual and its licensors. No implied licenses are granted by these Terms.

7.4 User Content License

By submitting User Content to the Platform, you grant Eduovisual a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and improving the Platform. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe any third-party rights.

7.5 DMCA and Copyright Complaints

If you believe that any Content on the Platform infringes your copyright, please send a notice to admin@eduovisual.com containing the information required under the Digital Millennium Copyright Act (17 U.S.C. § 512). Eduovisual will respond to valid notices in accordance with applicable law and reserves the right to remove infringing content and terminate the accounts of repeat infringers.


8. TRADEMARKS

"Eduovisual," the Eduovisual logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Eduovisual or its affiliates and licensors. You may not use such marks without the prior written permission of Eduovisual. All other trademarks, service marks, and logos appearing on the Platform are the property of their respective owners.


9. PRIVACY, DATA PROTECTION, AND HEALTH INFORMATION

9.1 Privacy Policy

Eduovisual's collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.2 No Protected Health Information

The Platform is not designed, intended, or authorized for the collection, storage, processing, or transmission of Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA") and its implementing regulations. Users shall not submit, upload, transmit, or otherwise make available any PHI through the Platform. Eduovisual disclaims all liability arising from any User's submission of PHI in violation of this Section.

9.3 Data Security

Eduovisual employs commercially reasonable administrative, technical, and physical safeguards to protect your personal information. However, no method of transmission over the Internet or method of electronic storage is completely secure. Eduovisual does not warrant or guarantee the absolute security of your data.

9.4 International Users

The Platform is operated from the United States. If you access the Platform from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. By using the Platform, you consent to the transfer, processing, and storage of your information in the United States.


10. EDUCATIONAL CONTENT DISCLAIMER

THE CONTENT PROVIDED ON THE PLATFORM IS INTENDED SOLELY FOR EDUCATIONAL AND INFORMATIONAL PURPOSES AS A STUDY AID FOR MEDICAL LICENSING AND BOARD CERTIFICATION EXAMINATIONS. Nothing on the Platform is intended to be, nor should it be construed as, professional medical advice, diagnosis, treatment, or a substitute for the professional judgment of a qualified healthcare provider. Users should always seek the advice of a physician or other qualified health professional with any questions regarding a medical condition, treatment plan, or clinical decision.

The Platform is a supplemental educational resource. Completion of any course, module, quiz, or assessment on the Platform does not confer any professional certification, credential, continuing education credit, or license. Eduovisual does not guarantee that use of the Platform will result in passing any examination or obtaining any credential. Examination outcomes depend on numerous factors beyond the scope of the Platform, and Eduovisual expressly disclaims any responsibility for examination results.

Eduovisual does not practice medicine and does not recommend or endorse any specific tests, physicians, procedures, opinions, or other information that may be mentioned on the Platform. Reliance on any Content provided through the Platform is solely at your own risk.


11. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites, services, or resources. Eduovisual provides such links solely for your convenience and does not endorse, monitor, or assume any responsibility for the content, accuracy, policies, products, services, or practices of any third-party website. Your interactions with third-party websites and services are solely between you and the third party. Eduovisual shall not be liable for any damage or loss arising from or in connection with your use of or reliance upon any third-party content or services.


12. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, ALL CONTENT, AND ALL SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. EDUOVISUAL HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

(a) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
(b) ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
(c) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(d) ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENCY OF ANY CONTENT; AND
(e) ANY WARRANTY THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

EDUOVISUAL MAKES NO WARRANTY OR REPRESENTATION THAT USE OF THE PLATFORM WILL RESULT IN PASSING ANY MEDICAL LICENSING OR BOARD CERTIFICATION EXAMINATION. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM EDUOVISUAL OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.


13. LIMITATION OF LIABILITY

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EDUOVISUAL, ITS AFFILIATES, SUBSIDIARIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

(a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
(c) ANY CONTENT OBTAINED FROM THE PLATFORM;
(d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
(e) ANY EXAMINATION RESULTS, LICENSING OUTCOMES, OR CREDENTIALING DECISIONS RELATED TO YOUR USE OF THE PLATFORM; OR
(f) ANY OTHER MATTER RELATING TO THE PLATFORM,

REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF EDUOVISUAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUOVISUAL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO EDUOVISUAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).

13.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. YOU MAY HAVE ADDITIONAL RIGHTS THAT VARY BY JURISDICTION.


14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Eduovisual and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, costs, expenses, liabilities, losses, and damages of any kind (including reasonable attorney's fees and costs) arising out of or relating to:

(a) Your access to or use of the Platform;
(b) Your User Content;
(c) Your violation of these Terms or any applicable law or regulation;
(d) Your infringement or misappropriation of any third-party right, including any intellectual property, privacy, or publicity right; or
(e) Any dispute between you and any third party arising from your use of the Platform.

Eduovisual reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with Eduovisual in asserting any available defenses. You may not settle any claim subject to this Section without the prior written consent of Eduovisual.


15. TERMINATION

15.1 Termination by Eduovisual

Eduovisual may, in its sole and absolute discretion, suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, without incurring any liability to you. Grounds for termination include, without limitation, violation of these Terms, fraudulent activity, extended periods of inactivity, or upon request of law enforcement or governmental agencies.

15.2 Termination by You

You may terminate your account at any time by contacting admin@eduovisual.com. Termination of your account does not relieve you of any obligation to pay accrued fees or charges, and no refund will be issued for any unused portion of a prepaid Subscription except as expressly provided in Section 6.5.

15.3 Effect of Termination

Upon termination of your account for any reason:

(a) All licenses and rights granted to you under these Terms shall immediately cease;
(b) You must promptly discontinue all use of the Platform and delete any Content in your possession;
(c) Eduovisual may delete your account data in accordance with its data retention policies; and
(d) Eduovisual shall have no obligation to maintain or provide your data or to forward any unread or unsent messages to you or any third party.

15.4 Survival

The following Sections shall survive the termination or expiration of these Terms: 1 (Definitions), 7 (Intellectual Property), 8 (Trademarks), 9 (Privacy), 10 (Educational Disclaimer), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 15.3–15.4 (Effect of Termination; Survival), 16 (Dispute Resolution), 17 (Governing Law), and 18 (General Provisions).


16. DISPUTE RESOLUTION

16.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact Eduovisual at admin@eduovisual.com to attempt to resolve any dispute informally. The parties shall use good-faith efforts to resolve the dispute within thirty (30) calendar days of receipt of written notice.

16.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Eduovisual agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in the English language, in the State of Delaware or remotely by videoconference. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

16.3 Class Action Waiver

YOU AND EDUOVISUAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

16.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or the Acceptable Use Policy set forth in Section 4.


17. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. For any matters not subject to arbitration under Section 16, you irrevocably submit to the exclusive personal jurisdiction and venue of the state and federal courts located in the State of Delaware.


18. GENERAL PROVISIONS

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and Eduovisual with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, or communications, whether oral or written.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

The failure of Eduovisual to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Eduovisual to be effective.

18.4 Assignment

Eduovisual may freely assign, transfer, or delegate its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Eduovisual.

18.5 Force Majeure

Eduovisual shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, Internet disruptions, or other force majeure events.

18.6 Notices

All notices to Eduovisual shall be sent to admin@eduovisual.com. Notices to you may be sent to the email address associated with your account. Notice shall be deemed given upon receipt.

18.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

18.8 Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

18.9 Electronic Communications

By using the Platform, you consent to receiving electronic communications from Eduovisual. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.


19. RELEASE

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE AND FOREVER DISCHARGE EDUOVISUAL AND THE INDEMNIFIED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES (ACTUAL AND CONSEQUENTIAL), LOSSES, AND CAUSES OF ACTION OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE PLATFORM.
